1. Acceptance of Terms

By accessing or using Bexo's platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. User Accounts

To use our platform, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account
Be at least 18 years old

3. User Conduct

You agree not to:

Violate any laws or regulations
Infringe on others' intellectual property rights
Upload harmful, offensive, or inappropriate content
Engage in fraudulent or deceptive practices
Interfere with the platform's operation
Harass, abuse, or harm other users

4. Content and Intellectual Property

Bexo is a creator studio workspace for managing your UGC projects and client deals.

Your Content Rights:

You retain full ownership of all scripts, pitches, and materials you create inside Bexo
AI-generated scripts and content are yours to use freely in your business
Bexo does not claim any rights over the work you produce using our tools

Platform Tools:

Bexo provides tools to help you run your creator business (scripts, invoices, boards, calendars, pitches)
All agreements, rates, and deliverables with your clients are managed directly by you
Bexo does not act as an intermediary between you and your clients

5. Subscription & Payments

Creator Subscription: Bexo offers a creator subscription plan to access our studio tools and features. Subscription fees are separate from any payments you receive from clients.

Direct Client Payments: For client work you arrange and invoice outside of BEXO UGC Opportunities, you manage your own client relationships and invoicing. Those payments are between you and your client, and BEXO does not process or charge fees on them.

Milestone Payments (UGC Opportunities): For campaigns hired through BEXO UGC Opportunities, BEXO processes creator compensation through Stripe Connect milestone payments. When a brand approves content, the agreed milestone payout is released directly to your connected bank account. BEXO covers the transaction fees on these payouts so you receive the full agreed amount. Milestone payments are only available for campaigns hired through BEXO UGC Opportunities; they do not apply to direct client work you arrange outside the platform.

All subscription and milestone payments are processed through our secure payment partner (Stripe). We reserve the right to change subscription pricing with 30 days notice.

6. Cancellation

Creator subscriptions can be cancelled at any time. No refunds are provided for partial months.

Your projects and data remain accessible during your subscription. Upon cancellation, you retain ownership of all your content and can export your work.

7. Studio Workspace & Projects

Your Bexo studio workspace is your private creative hub for:

Managing projects and deliverables
Creating and organizing scripts and briefs
Tracking your content calendar and deadlines
Managing invoices and client information
Organizing your portfolio and rates

All workspace data is stored securely and remains your private property. You have full control over your content and can delete or export it at any time.

8. Client Management & Agreements

You are responsible for managing your own client relationships and agreements. Bexo provides tools to help you organize, communicate, and track projects, but:

For direct client work arranged outside BEXO, you negotiate all terms, rates, and deliverables directly with clients
For direct client work, you create and maintain your own contracts and agreements
For direct client work, you are responsible for collecting payment from clients
For campaigns hired through BEXO UGC Opportunities, milestone payments are processed by BEXO as described in Section 5
Bexo does not intervene in client disputes for direct client work or enforce agreements made outside the platform

9. UGC Opportunities & Brand Campaigns

BEXO UGC Opportunities (launching November 15, 2026) connects brands and creators for paid UGC campaigns. All campaigns run through BEXO use a standardized content rights model so that every brand-creator collaboration follows the same terms, rather than each brand defining its own.

Standardized Rights Model:

The creator retains full ownership of all content they create for a campaign
Upon brand approval and payment, the brand receives perpetual commercial digital usage rights to the approved content
No recurring licensing fees — the brand may continue using the approved content across commercial digital channels indefinitely
The creator grants these digital usage rights to the brand as part of the campaign; no separate license agreement is required

Defined Boundaries:

Digital usage rights cover online and digital channels only (websites, social media, email, paid digital advertising)
Broadcast usage (television, radio, cinema) and offline or out-of-home usage (print, billboards, packaging) are not included unless separately agreed in writing between the brand and creator
The brand may not materially alter or create AI-generated depictions of the creator's likeness without the creator's separate written consent
The brand may not use the creator's content in a manner that implies endorsement of unrelated products or services

This standardized rights model applies to all campaigns launched through BEXO UGC Opportunities. Creator compensation is separate from the campaign launch fee and is set by the brand before the campaign opens; creators can review the full campaign details and compensation before applying.

10. Dispute Resolution

If you have disputes with clients, Bexo may provide guidance or mediation support. However, Bexo is not responsible for client disputes or their outcomes. You agree to work in good faith with your clients to resolve conflicts.

11. Suspension & Account Termination

Account Suspension:

We may temporarily suspend accounts that violate these terms or engage in prohibited behavior such as fraud, harassment, spam, or payment issues. Suspension is typically temporary and time-limited.

How suspension works:

Admin suspends your account for a specific duration or indefinitely
You receive notification of suspension, reason, and when it will be lifted
While suspended, you cannot log in or access platform features
Temporary suspensions auto-expire on the specified date
You retain ownership of your content and data

Account Deletion Requests:

To delete your account, you must submit a deletion request through the Support page. Bexo will process your request and remove your profile and workspace data.

You may download or export your content before deletion. Some data may be retained for legal or accounting purposes as outlined in our Privacy Policy.

12. Limitation of Liability

Bexo is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of our platform. Our total liability is limited to the amount you paid us in the past 12 months.

13. Indemnification

You agree to indemnify and hold Bexo harmless from any claims, damages, or expenses arising from your use of the platform, your content, or your violation of these terms.

14. Changes to Terms

We may modify these Terms of Service at any time. We will notify users of significant changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.

15. Governing Law

These terms are governed by the laws of the jurisdiction where Bexo is registered. Any disputes shall be resolved in the courts of that jurisdiction.
